Terms & Conditions
1. Introduction
These Terms & Conditions govern the provision of services by Code.Hub P.C. / Code.Hub IKE (“Code.Hub”, “Company”, “we”, “our”) to its clients (“Client”). By engaging Code.Hub services, the Client agrees to these Terms & Conditions unless otherwise agreed in writing.
2. Scope of Services
Code.Hub provides IT, cloud, software development, cybersecurity, consulting, training, AI integration, and related technology services as agreed through proposals, quotations, statements of work, or service agreements.
The exact scope, deliverables, timelines, and commercial terms shall be defined in the applicable agreement or quotation.
3. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information necessary for the execution of services
- Cooperate with Code.Hub during project implementation
- Ensure authorized access to systems and environments where required
- Comply with applicable laws and regulations
- Use the provided services responsibly and lawfully
4. Confidentiality
Both Parties agree to treat all confidential information exchanged during the collaboration as strictly confidential.
Neither Party shall disclose confidential information to third parties unless:
- Required by law
- Authorized in writing by the other Party
- Necessary for the performance of the agreed services
Confidentiality obligations remain in effect after termination of the collaboration.
5. Data Protection & GDPR
Code.Hub processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).
Where applicable, separate Data Processing Agreements (DPAs) may be executed between the Parties.
Code.Hub applies appropriate technical and organizational security measures to protect information and personal data.
6. Information Security
Code.Hub follows recognized information security practices and maintains internal security policies and procedures designed to protect systems, data, and services.
Clients are responsible for maintaining the security of their own credentials, devices, and systems unless otherwise agreed.
7. Intellectual Property
Unless otherwise agreed in writing:
- Code.Hub retains ownership of its methodologies, tools, templates, frameworks, and pre-existing intellectual property
- The Client retains ownership of its own data and materials
- Deliverables specifically developed for the Client may be transferred according to the applicable agreement
8. Payment Terms
Invoices are payable according to the payment terms specified in the applicable quotation, proposal, or agreement.
Late payments may result in:
- Suspension of services
- Delayed deliverables
- Additional administrative charges where permitted by law
9. Limitation of Liability
To the maximum extent permitted by applicable law, Code.Hub shall not be liable for:
- Indirect or consequential damages
- Loss of profits, business, or data
- Third-party service interruptions
- Security incidents caused by Client negligence or unauthorized actions
Code.Hub’s total liability shall not exceed the total fees paid for the specific services giving rise to the claim, unless otherwise required by law.
10. Third-Party Services
Code.Hub may utilize third-party platforms, software, cloud providers, or services as part of the agreed services.
Such services remain subject to the terms and conditions of the respective third-party providers.
11. Service Availability
Code.Hub will make commercially reasonable efforts to provide services with professionalism and continuity.
However, uninterrupted availability cannot be guaranteed due to maintenance, technical issues, force majeure events, or third-party dependencies.
12. Termination
Either Party may terminate the collaboration:
- According to the agreed contractual terms
- In case of material breach
- With prior written notice, where applicable
Upon termination, outstanding obligations and payments remain due.

14. Force Majeure
Neither Party shall be liable for delays or failures resulting from causes beyond reasonable control, including natural disasters, cyberattacks, governmental actions, telecommunications failures, or other force majeure events.
15. Governing Law
These Terms & Conditions are governed by the laws of Greece.
Any disputes arising from these Terms shall fall under the exclusive jurisdiction of the competent courts of Athens, Greece.
